ERP CRM Platform Services

These Terms of Service (“Terms”) govern the purchase, setup, access, and use of the ERP CRM Platform, website setup, hosting, server services, training, and related services provided by CasaCode (“Company,” “we,” “us,” or “our”) to the client (“Client,” “you,” or “your”).

By signing an agreement, submitting payment, accessing the platform, or using any related services, you agree to be bound by these Terms.

1. Services Provided

CasaCode provides access, setup, hosting, and support for an ERP CRM Platform designed to help businesses manage operations, customer relationships, sales, products, events, point-of-sale activity, websites, and related business workflows.

Depending on the Client’s selected plan and business needs, services may include:

  • ERP CRM Platform access

  • Domain setup

  • VPS server setup

  • Website setup

  • Platform configuration

  • Product setup

  • Event template setup

  • POS setup

  • CRM setup

  • Business workflow setup

  • Basic training and onboarding

  • General technical support related to the platform

Specific features, modules, or workflows may vary depending on the Client’s selected package, implementation needs, and third-party service requirements.

2. Pricing and Payment Terms

The ERP CRM Platform is available under the following pricing options:

  • Annual Plan: $2,500 per year

  • Monthly Plan: $250 per month during the first-year contract term

The first year of service is a required minimum contract term. No early cancellations are permitted during the first year.

After the first year has been completed, the Client may continue on a month-to-month subscription at $249 per month, unless otherwise agreed in writing.

All payments must be made on time according to the selected billing schedule. Prices do not include third-party fees, payment processing fees, premium integrations, custom development, or additional services unless specifically stated in writing.

3. First-Year Contract Requirement

The Client agrees to maintain service for a minimum of one year from the service start date.

During the first year:

  • The Client is responsible for all payments due under the selected plan.

  • Early cancellation is not permitted.

  • Non-use of the platform does not release the Client from payment obligations.

  • Failure to provide required business information, content, or access does not cancel or pause the agreement.

After the first year, services may continue month-to-month unless renewed annually or canceled according to these Terms.

4. Included Setup and Training

The Client receives the following onboarding services as part of the initial setup:

  • Up to 10 hours of platform setup

  • Up to 3 training sessions

  • Each training session is limited to 1 hour

  • Assistance setting up tools such as products, event templates, POS settings, CRM workflows, website basics, and other standard platform features

Setup hours are intended for standard configuration and onboarding. Unused setup or training time does not convert into credit, refund, discount, or future custom development hours.

Additional setup, training, customization, support, data entry, migration, design work, or development may be billed separately.

5. Domain, VPS Server, and Website Setup

As part of the service, CasaCode may assist with domain setup, VPS server setup, and basic website setup.

The VPS server and platform environment are provided for the Client’s use while the Client maintains an active subscription and remains in good standing.

The Client is responsible for providing accurate business information, domain access, content, branding assets, product information, payment processor information, and any other materials required to complete setup.

CasaCode is not responsible for delays caused by missing information, third-party provider issues, domain registrar problems, hosting restrictions, payment processor delays, or lack of response from the Client.

6. Point-of-Sale and Stripe Requirement

The platform’s POS functionality is designed to work with Stripe.

The Client understands and agrees that:

  • POS payment processing requires an active Stripe account.

  • The Client is responsible for creating, maintaining, and complying with Stripe’s requirements.

  • Stripe approval, underwriting, holds, fees, payouts, disputes, chargebacks, or account limitations are controlled by Stripe and not by CasaCode.

  • CasaCode is not responsible for payment processing issues caused by Stripe, the Client’s Stripe account, banking issues, or incorrect configuration provided by the Client.

If the Client does not use Stripe, POS payment processing may not function as intended.

7. Client Responsibilities

The Client agrees to:

  • Make all required payments on time

  • Provide accurate business and billing information

  • Provide access and content needed for setup

  • Use the platform legally and responsibly

  • Maintain any required third-party accounts, including Stripe

  • Keep login credentials secure

  • Notify CasaCode of technical issues in a timely manner

  • Avoid misuse, unauthorized access, abuse, or illegal activity through the platform

The Client is responsible for the accuracy of their own data, products, pricing, taxes, customer information, event details, sales activity, website content, and business operations.

8. Late Payments, Disconnection, and Reconnection Fee

If payment is missed, late, rejected, disputed, or not received, CasaCode may suspend or disconnect access to the platform, website, VPS server, and related services.

Disconnection may include, but is not limited to:

  • Website suspension

  • Platform access suspension

  • POS access interruption

  • CRM access interruption

  • Server access limitation

  • Temporary removal of public-facing services

A $100 reconnection fee will apply to restore services after disconnection due to non-payment.

Service may not be restored until all outstanding balances, late fees, reconnection fees, and any other amounts due are paid in full.

CasaCode is not responsible for lost sales, missed leads, website downtime, platform interruption, or business losses caused by suspension or disconnection due to non-payment.

9. Cancellation After First Year

After the first-year contract term has been completed, the Client may cancel month-to-month service by providing written notice.

Cancellation does not remove responsibility for any unpaid balances, outstanding invoices, third-party costs, or services already provided.

Upon cancellation, platform access, hosting, website services, server services, and related support may be discontinued.

10. Data Export Upon Cancellation

Upon cancellation, and if requested by the Client, CasaCode may package and provide the Client’s available platform data in a reasonable export format.

The Client understands that:

  • Data export must be requested in writing.

  • Export format may vary depending on the system structure.

  • Some data, layouts, automations, templates, configurations, or platform-specific functions may not be transferable to another system.

  • CasaCode is not responsible for importing the data into another provider’s system.

  • Custom migration work may be billed separately.

CasaCode may retain backup copies only as required for business, legal, accounting, security, or compliance purposes.

11. Third-Party Services

The platform may rely on third-party services, including but not limited to domain registrars, hosting providers, payment processors, email services, SMS providers, analytics tools, and other integrations.

CasaCode is not responsible for third-party outages, pricing changes, account restrictions, approval delays, API changes, service interruptions, transaction issues, or policy decisions made by third-party providers.

Any third-party fees are the Client’s responsibility unless otherwise stated in writing.

12. Support and Maintenance

CasaCode may provide reasonable technical support related to the ERP CRM Platform, website setup, VPS server, and included services.

Support does not include unlimited customization, custom development, data entry, business consulting, accounting setup, legal compliance review, tax configuration, advanced automation, graphic design, marketing services, or third-party troubleshooting unless agreed in writing.

CasaCode may perform maintenance, updates, security reviews, server adjustments, or system improvements as needed. Temporary downtime may occur during maintenance or due to circumstances outside of CasaCode’s control.

13. Custom Work and Additional Services

Any work outside the included setup, training, and standard platform configuration may be considered additional work.

Additional services may include, but are not limited to:

  • Custom development

  • Custom reports

  • Advanced automation

  • Additional training

  • Additional setup hours

  • Data migration

  • Bulk product entry

  • Website redesign

  • Branding or graphic design

  • Marketing services

  • Third-party integration setup

  • Custom POS workflows

  • Advanced event configurations

Additional services may require a separate quote, invoice, or written approval before work begins.

14. Ownership and Access

The Client owns their business data entered into the platform.

The ERP CRM Platform may include open-source community software components, standard platform functionality, third-party integrations, and CasaCode-created custom modules, configurations, templates, workflows, implementation methods, documentation, internal tools, and service processes.

CasaCode retains ownership of its custom modules, proprietary configurations, service methods, templates, setup processes, design systems, code, documentation, business workflows, and intellectual property unless otherwise stated in writing.

The Client may not copy, resell, redistribute, reverse engineer, sublicense, duplicate, extract, or provide unauthorized third-party access to the platform, custom modules, configurations, workflows, or related services.

Upon cancellation, the Client may request an export of their available business data as described in these Terms. Platform code, custom modules, workflows, templates, proprietary configurations, and system architecture are not included in a standard data export unless specifically agreed in writing.


15. No Guarantee of Business Results

CasaCode provides technical services, platform setup, and related support. CasaCode does not guarantee specific business results, sales, revenue, customer growth, event attendance, payment approvals, operational outcomes, or financial performance.

The Client is responsible for how the platform is used within their business.

16. Limitation of Liability

To the maximum extent permitted by law, CasaCode shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profits, loss of business, loss of data, lost sales, downtime, or interruption of services.

CasaCode’s total liability for any claim related to the services shall not exceed the amount paid by the Client to CasaCode during the three months immediately preceding the claim.

17. Termination

CasaCode may suspend or terminate services if the Client:

  • Fails to make payment

  • Violates these Terms

  • Misuses the platform

  • Engages in illegal or harmful activity

  • Provides false or misleading information

  • Attempts unauthorized access or distribution

  • Abuses support or staff

  • Creates security, legal, or reputational risk

Termination does not eliminate the Client’s obligation to pay outstanding balances.

18. Changes to These Terms

CasaCode may update these Terms from time to time. Updated Terms may be provided by email, posted online, included with invoices, or made available through the platform.

Continued use of the services after updates means the Client accepts the revised Terms.

19. Governing Law

These Terms shall be governed by the laws of the State of Utah, unless otherwise required by applicable law.

Any disputes shall be handled in the appropriate courts or legal venue located in Utah, unless otherwise agreed in writing.
